1. Acceptance of Terms
Welcome to Vibe With Me™! These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Vibe With Me LLC ("Company," "we," "our," or "us") governing your use of our mobile application, web platform, merchandise shop, and related services (collectively, the "Service"). The Service is intended for users located in the United States only at launch.
By creating an account or accessing our Service, you agree to be bound by these Terms, our Privacy Policy, and our Community Guidelines (collectively, the "Agreement"). Your acceptance is recorded at the time of account creation, including the version of the Terms you accepted. The Community Guidelines are incorporated into and form part of these Terms; violations of the Community Guidelines constitute violations of these Terms. If you disagree with any part of this Agreement, you may not access or use our Service.
2. Description of Service
Vibe With Me is a music social platform that allows users to:
- Connect with other music enthusiasts at live events through QR codes and NFC-enabled "Vibe Tags"
- Track and journal live music experiences ("vibes") through the Show Journal
- Discover upcoming shows and festivals in your area
- Share posts, photos, and interactions with your music network through the Pulse Feed
- Create and participate in "Vibe With Us" groups for ongoing connections with people you have vibed with
- Send and respond to vibe sharing requests
- Maintain profiles with music preferences and social connections
- Purchase physical NFC-enabled Vibe Tags and related merchandise
3. Eligibility and Account Registration
3.1 Age Requirements
You must be at least 18 years of age to create an account and use Vibe With Me. By creating an account, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into this Agreement. If we learn or have reason to believe that you are under 18, we will promptly terminate your account.
Vibe With Me is designed to facilitate in-person connections between adults at live music events. We do not knowingly collect personal information from anyone under the age of 18. If you are a parent or guardian and believe your child has provided us with personal information, please contact us at support@vibewithme.co and we will delete such information.
3.2 Account Creation
- You must provide valid authentication credentials (via Apple or Google sign-in, or via email or phone number) for account verification
- You must complete the age-verification or age-attestation process during onboarding to verify that you meet the minimum age requirement. We do not require you to provide a date of birth unless the Privacy Policy or onboarding flow expressly says otherwise.
- You are responsible for maintaining the confidentiality of your account credentials
- You must provide accurate, complete, and current information
- You may only create one account per person. If we detect or reasonably believe that you have created multiple accounts, we may suspend or terminate any or all of the associated accounts without notice
- You are responsible for all activities that occur under your account
3.3 Account Verification
We use third-party authentication providers (Apple, Google) as well as email and phone verification to create accounts. By providing your information through these methods, you consent to receive communications necessary for authentication purposes.
4. User Content and Conduct
4.1 Your Content
You retain ownership of content you create or upload ("User Content"), including:
- Profile information and descriptions
- Photos and images
- Posts and communications in the Pulse Feed
- Event details and personal notes in your Show Journal
- Music preferences and lists
By posting User Content, you grant us a non-exclusive, worldwide, royalty-free license to use, modify, publicly display, and distribute your content in connection with operating and improving our Service.
By uploading or posting User Content, you represent and warrant that: (a) you own the content or have obtained all necessary rights, licenses, and permissions to share it; (b) your content does not infringe, misappropriate, or violate any third party's intellectual property rights, privacy rights, or other legal rights; and (c) you have the right to grant the license described in Section 10.2 of these Terms. You are solely responsible for any User Content you upload, and you agree to indemnify Vibe With Me against any claims arising from content you post that infringes on the rights of others.
4.2 Content Guidelines
You agree not to post or share content that:
- Is illegal, harmful, threatening, abusive, or discriminatory
- Violates intellectual property rights
- Contains false or misleading information
- Includes spam, unsolicited promotions, or commercial content
- Contains malware, viruses, or harmful code
- Violates the privacy or safety of others
- Is sexually explicit or inappropriate for a general audience
- Promotes illegal activities, drug transactions, or violence
- Constitutes harassment, stalking, or intimidation

4.3 Prohibited Conduct
You agree not to:
- Impersonate others or create fake accounts
- Harass, stalk, or intimidate other users
- Use the Service for commercial purposes without permission
- Attempt to gain unauthorized access to our systems
- Reverse engineer, decompile, or hack the Service
- Use automated systems to access or interact with our Service
- Collect user information for commercial purposes
- Create multiple accounts to evade restrictions
- Share inappropriate content at live music events
- Misuse QR codes or NFC technology for harmful purposes
- Use the Service, or any connections made through the Service, to buy, sell, distribute, or facilitate the distribution of controlled substances or illegal drugs
- Solicit, coordinate, or facilitate any illegal activity through the Service or through connections established via the Service, whether such activity occurs on-platform, through external services, or in person
- Distribute content that promotes, glorifies, or facilitates illegal drug use, sales, or distribution
- Use the Service to arrange meetings or communications for illegal purposes
4.4 User-Submitted Event Listings
Users may submit show, festival, and event listings to the platform through the "Submit Show" or "Add Show" features. The following terms apply to all user-submitted event information:
- Vibe With Me does not verify, endorse, or guarantee the accuracy, completeness, or timeliness of any user-submitted show or event information, including but not limited to artist lineups, venue details, dates, times, and ticket availability. Users should independently confirm event details before making travel arrangements, purchasing tickets, or taking time off work.
- The appearance of an artist, venue, or promoter name in a user-submitted listing does not imply any partnership, endorsement, sponsorship, or affiliation between that artist, venue, or promoter and Vibe With Me. Event listings reflect user contributions, not official announcements.
- We reserve the right to remove, modify, flag, or de-list any user-submitted event information at our sole discretion, with or without notice, for any reason, including but not limited to inaccuracy, duplication, intellectual property concerns, or violation of these Terms.
- Users who submit event listings represent that the information they provide is accurate to the best of their knowledge. Intentionally submitting false, misleading, or fabricated event information is a violation of these Terms and may result in content removal, account suspension, or termination.
- Vibe With Me shall not be liable for any damages, losses, or expenses arising from reliance on user-submitted event information, including but not limited to costs related to travel, lodging, tickets, or lost time.
5. Platform Role and Content Moderation
5.1 Platform Status
Vibe With Me operates as a platform for user-generated content and user-to-user connections. We do not create, endorse, or verify the accuracy of User Content. We act in good faith to moderate content and maintain a safe community without assuming editorial responsibility for User Content.
5.2 Content Moderation Rights
We reserve the right, but are not obligated, to:
- Monitor, review, and moderate User Content and communications at our sole discretion
- Use automated tools and filters to detect and remove content that violates these Terms or our Community Guidelines
- Remove or disable access to any User Content at our sole discretion, with or without notice, for any reason
- Cooperate with law enforcement agencies and respond to valid legal process, including subpoenas, court orders, and search warrants
- Voluntarily report to law enforcement when we have reason to believe a user is engaging in illegal activity that poses a risk to others, and disclose user information as necessary in connection with such reports
- Suspend or terminate accounts that violate these Terms, our Community Guidelines, or applicable law, at our sole discretion, with or without notice
5.3 User Reporting
Users may report content or behavior that violates these Terms or our Community Guidelines through in-app reporting features or by contacting support@vibewithme.co. We review reports and take appropriate action, which may include content removal, warnings, temporary suspension, or permanent account termination.
5.4 Automated Content Screening
Images uploaded to the Service — including Pulse Feed photos — may be automatically analyzed by third-party content moderation services (currently Amazon Rekognition) to detect content that violates these Terms or our Community Guidelines, such as nudity, violence, or other prohibited material. By uploading images to the Service, you acknowledge this automated content-safety screening. Images that are flagged by automated screening may be rejected, removed, or queued for manual review. We do not use these services to identify individuals by name or perform facial recognition for identification purposes; screening is limited to content safety classification.
6. QR Code and NFC Features
6.1 QR Code Usage
- QR codes generated by our Service are for personal, non-commercial use
- You may share your QR code at live music events and social gatherings
- Scanning a QR code does not, by itself, share your connection details; a vibe request is created only after the scanning user takes an affirmative action, such as pressing the "Vibe With" button, or if the profile owner has affirmatively enabled an applicable auto-share setting.
- We are not responsible for QR codes shared in inappropriate contexts
6.2 NFC Technology
- NFC features require compatible devices and, where applicable, user permission or user-initiated interaction.
- You may write your profile information to personal NFC tags ("Vibe Tags")
- We track NFC tag identifiers, claims, reads, and usage events as described in our Privacy Policy for product functionality, analytics, abuse prevention, and fraud prevention.
- You are responsible for the physical security of any NFC tags you program or purchase
- Unauthorized manipulation of NFC tags is prohibited
6.3 Vibe Request Approval and Connection Consent
A connection is established only after the initiating user affirmatively requests to share a vibe (for example, by pressing a "Vibe With" button) or when the tag/profile owner has affirmatively enabled an applicable auto-share setting. Once a connection is established ("sharing a vibe"), the following information becomes visible to the other user: your name, profile photo, vibe description, and any social connections you have marked as "Visible to Shared Vibes" in your privacy settings. You may control what information is shared by adjusting your profile and connection visibility settings before or after connecting.
- When someone scans your QR code or taps your Vibe Tag, that person may view your public profile and may send you a vibe request through an affirmative action unless you have enabled an applicable auto-share setting.
- By default, auto-share is disabled and connection requests follow the user-controlled approval or request flow shown in the Service.
- Settings changes take effect immediately for all future incoming requests
6.4 Location Services
- We do not store precise GPS coordinates from your device or track your real-time location. Event/location context is limited to city-level or venue-based information derived from user-provided profile fields, venue addresses, or event data, unless a specific feature separately requests device permission.
- Location information may include city and state profile context, venue names, venue addresses, event attendance context, and related event-discovery context linked to your account. We treat this information as described in our Privacy Policy; it is not intended to constitute precise geolocation data because we do not store device GPS coordinates or real-time location history.
- Approximate location and venue context are used for event context and show discovery; exact coordinates from your device are not shared with other users.
- You can disable location sharing at any time in your device settings or app settings
6.5 Event Attendance Visibility
- You may opt in to "Show me in the crowd," which makes your profile visible to other attendees on event pages. This setting is disabled by default.
- When enabled, other users who are attending the same event — including users you have not vibed with — may see your first name, last initial, profile photo, and attendance status on the event's attendee list.
- When disabled, only users you have already shared a vibe with can see that you are attending an event.
- You may enable or disable this setting at any time; changes take effect immediately and apply to all events you have marked as attending.
- Enabling this feature is entirely voluntary. We will not enable it on your behalf or change the default without notice.
7. Physical Merchandise and Vibe Tags
7.1 Product Sales
We sell physical NFC-enabled Vibe Tags and related merchandise through our mobile app, web platform, and marketing website. By purchasing physical products, you agree to the following terms in addition to all other provisions of this Agreement.
7.2 Orders and Fulfillment
- Product descriptions and images are provided for informational purposes; actual products may vary slightly in appearance
- All orders are subject to availability and confirmation. Your submission of an order constitutes an offer to purchase; a binding contract is not formed until we send you an order confirmation email. We reserve the right to decline any order prior to confirmation.
- We reserve the right to refuse or cancel any order for any reason, including suspected fraud, pricing errors, or product unavailability
- We currently ship to addresses within the United States only. Orders with shipping addresses outside the United States will not be processed.
- Shipping is charged at the flat rate displayed at checkout, unless a promotional rate or free shipping threshold applies. Shipping times are estimates and not guarantees; we are not liable for delays caused by shipping carriers or circumstances beyond our control. If no shipping timeframe is stated at checkout, we expect to ship within 30 days. If we are unable to ship your order within the timeframe stated at checkout (or within 30 days if no timeframe is stated), we will notify you and offer the option to consent to the delay or cancel for a full refund.
- Risk of loss and title for purchased items pass to you upon delivery by the carrier to the shipping address you provide.
7.3 Pricing and Payment
- All prices are listed in U.S. dollars and are subject to change without notice
- Applicable sales tax will be calculated and added at checkout as required by law
- Payment is processed securely through Stripe; we do not receive or store full payment card numbers. By making a purchase, you agree to Stripe's terms of service
- In the event of a pricing error, we reserve the right to cancel any orders placed at the incorrect price and issue a full refund. We will notify you if your order is affected by a pricing error before cancellation.
7.4 Returns and Refunds
- If a Vibe Tag or other physical product arrives defective — meaning it is physically damaged, the NFC chip does not function, or the product materially differs from what was described at the time of purchase — you may request a replacement or refund of amounts paid for the defective product within 30 days of delivery.
- Products that are not defective are not returnable or refundable except to the extent required by applicable law. Because Vibe Tags are pre-programmed NFC devices tied to your account, we cannot accept returns of functioning products.
- To request a replacement or refund, contact support@vibewithme.co with your order number, a description of the issue, and if possible, a photo of the defective product. You do not need to return the defective item, and we will not require return shipping for approved defective-product claims.
- Refunds, when approved, will be processed to the original payment method within 10 business days. Replacement products will be shipped at no additional cost.
- We reserve the right to deny return requests that fall outside the 30-day window, involve products that are not defective, or where evidence of a defect cannot be reasonably established. This return policy does not limit any non-waivable rights you may have under applicable law.
7.5 NFC Hardware Disclaimer
- Vibe Tags are physical products with an embedded digital component. They require an NFC-compatible smartphone and the Vibe With Me app (or a web browser) to function as intended; we are not responsible for device compatibility issues.
- NFC tag performance may vary based on device, case, and environmental factors
- Except for defective products covered by Section 7.4 and any non-waivable warranty rights under applicable law, we do not guarantee the lifespan or durability of physical NFC tags under all conditions
- Replacement tags may be purchased if original tags are lost, damaged, or become non-functional
- Vibe With Me reserves the right to deactivate, modify, or discontinue the digital functionality associated with any Vibe Tag at any time, including but not limited to situations where the tag owner's account is terminated, suspended, or deleted. In such cases, the tag's URL may stop resolving to a user profile. The physical product remains yours, but the digital connection functionality is dependent on an active account and the continued operation of the Service.
8. Privacy and Data Protection
8.1 Privacy Policy
Your privacy is important to us. Please review our Privacy Policy, which explains how we collect, use, and protect your information. Certain optional features require separate consent or settings choices as described in the Privacy Policy and in the Service.
8.2 Biometric Data
We do NOT collect or store biometric data. Biometric authentication (Face ID, Touch ID, Fingerprint) is handled entirely on your device through platform-provided APIs (Apple and Google). We only store a preference flag indicating whether you have enabled biometric login. Your biometric data never leaves your device and is never transmitted to our servers.
8.3 Social Media Connections
- You may voluntarily add your social media handles and contact information to your profile
- You are responsible for the accuracy of any social media handles or contact information you provide
- We do not verify ownership of social media handles provided by users
- We do not scrape, access, or collect any data from linked social media platforms
- You control the visibility of your connections through privacy settings; connections you add are visible only to users you have shared a vibe with ("Visible to Shared Vibes"), and you may toggle visibility on or off for each connection individually
8.4 Data Security
We implement reasonable security measures to protect your data, but cannot guarantee absolute security. You acknowledge that internet transmission and data storage carry inherent risks.
9. Groups and Messaging
9.1 Group Creation and Management
- Users can create "Vibe With Us" groups to connect with other music enthusiasts they have shared vibes with
- Group creators have administrative privileges and responsibilities
- Group membership is limited to users who have shared vibes with the group creator or existing members
- We reserve the right to remove groups that violate these Terms or our Community Guidelines
9.2 Messaging and Communication
- Group messaging features support external chat platform links (WhatsApp, Discord, Telegram, Signal) for real-time communication
- All communications facilitated through our Service are subject to our content guidelines and prohibited conduct rules
- We may monitor platform-hosted communications to enforce these Terms and ensure user safety
9.3 Group Responsibilities
Group administrators are responsible for:
- Managing group membership appropriately
- Moderating content and behavior within groups
- Ensuring group activities comply with these Terms and Community Guidelines
- Promptly addressing reported violations
10. Intellectual Property
10.1 Our Intellectual Property
The Service and its original content, features, and functionality are owned by Vibe With Me LLC and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.
10.2 User Content License
By posting User Content, you grant us a non-exclusive, transferable, sub-licensable, royalty-free, worldwide license to use, reproduce, modify, adapt, publish, display, distribute, and create derivative works of your content in connection with operating, promoting, and improving our Service, including displaying your content in other users' feeds, in marketing and promotional materials, and across platforms where the Service is available. This license ends when you delete your content or account, except for: (a) content shared with others that may remain accessible to those users, and (b) content that has been incorporated into promotional materials already published prior to deletion.
10.3 Third-Party Content and Data Sources
The Service aggregates and displays content from third-party sources, including but not limited to event data from ticketing and event discovery APIs, and artist information and images from music data providers. Regarding third-party content:
- We do not claim ownership of artist names, images, musical works, or event information sourced from third parties
- Third-party event information (including dates, venues, lineups, and ticket availability) is provided for informational purposes only. We do not guarantee the accuracy, completeness, or timeliness of third-party event data. Users should independently verify event details before making plans or purchases.
- Artist images and information displayed on the Service may be subject to the terms and attribution requirements of their respective sources. We display such content in compliance with the applicable third-party terms, including any required attribution and linking obligations.
- User music preferences are personal expression, not copyright infringement
- Commercial use of artist information or third-party event data through our Service is prohibited
10.4 Trademark Policy
"Vibe With Me" and associated logos are trademarks of Vibe With Me LLC. You may not use our trademarks without express written permission.
10.5 DMCA and Copyright Complaints
Vibe With Me respects the intellectual property rights of others and complies with the Digital Millennium Copyright Act (DMCA). If you believe that content on our Service infringes your copyright, you may submit a DMCA takedown notice to our designated agent. Our full DMCA policy, including instructions for filing a notice and our designated agent contact information, is available at vibewithme.co/dmca.

By using the Service, you agree to comply with applicable copyright laws. You may not upload, post, or share content that infringes the copyright or other intellectual property rights of any third party.
10.6 Repeat Infringer Policy
In accordance with the DMCA, we maintain a policy of terminating the accounts of users who are determined to be repeat infringers of third-party copyrights. We may, at our sole discretion, limit access to the Service or terminate the account of any user who infringes the intellectual property rights of others, whether or not there is any repeat infringement.
10.7 Counter-Notification
If your content is removed or disabled in response to a DMCA takedown notice, you may submit a counter-notification to dmca@vibewithme.co. A valid counter-notification must include: (a) your physical or electronic signature; (b) identification of the material that was removed or disabled and the location at which it appeared before it was removed or disabled; (c) a statement under penalty of perjury that you have a good-faith belief that the material was removed or disabled as a result of mistake or misidentification; (d) your name, address, and telephone number; and (e) a statement that you consent to the jurisdiction of the U.S. District Court for the judicial district in which your address is located, or, if your address is outside the United States, the U.S. District Court for the District of Nebraska, and that you will accept service of process from the original complainant or its agent. Upon receipt of a valid counter-notification, we will forward it to the original complainant and may restore the disputed content within 10 to 14 business days unless the original complainant files an action seeking a court order to restrain the alleged infringing activity.
11. Payments and Subscriptions
11.1 Free and Paid Services
Vibe With Me currently provides its core platform features at no cost, including unlimited vibes, Show and Festival discovery, the Show Journal, Pulse Feed access, and a basic user profile. We may introduce premium subscription tiers with additional features in the future. No paid subscription is offered unless the applicable pricing, features, billing frequency, renewal terms, cancellation method, and refund rules are clearly described at the point of purchase. If subscriptions are offered through the Apple App Store, Google Play, or another app marketplace, that marketplace's terms and payment rules will also apply.
11.2 Merchandise Payments
Payments for physical merchandise (including Vibe Tags) are processed through Stripe. We do not receive or store full payment card numbers. By making a purchase, you agree to Stripe's applicable terms of service. Merchandise pricing, shipping, and return policies are described in Section 7 of these Terms.
11.3 Future Subscription Terms
If we introduce paid subscriptions, the following general terms will apply:
- Subscription fees will be clearly disclosed before purchase
- You may cancel subscriptions at any time through your account settings or, where purchased through the Apple App Store, Google Play, or another app marketplace, through that marketplace.
- Cancellations take effect at the end of the current billing period
- We will provide at least 30 days' notice to active subscribers before implementing price increases on existing subscription periods
- Subscription fees are generally non-refundable, though we may offer refunds at our discretion for exceptional circumstances
11.4 Charitable Contributions
We may allocate a portion of revenue from paid services to charitable organizations supporting artists and music communities. Any such contributions are made by Vibe With Me LLC and are not tax-deductible for users.
12. Third-Party Services
12.1 Integration Partners
Our Service integrates with third-party services including:
- Supabase: Database, authentication, and storage services
- Stripe: Payment processing for merchandise and related transactions
- PostHog: Analytics and error tracking
- Cloudflare: Hosting, content delivery, and security infrastructure
- Amazon Web Services (AWS): Automated image content moderation (Amazon Rekognition)
- Apple and Google: Authentication services and app distribution
- Resend: Transactional and authentication email delivery
- Twilio: SMS delivery and phone-number verification
- Merchandise fulfillment partners: Shipping and order fulfillment for physical products
The specific information shared with each provider depends on the feature used and is described in our Privacy Policy. Depending on the applicable law, contract terms, and data flows, these recipients may act as service providers, processors, contractors, or other recipients.
12.2 Third-Party Responsibility
We are not responsible for the availability, content, or practices of third-party services. Your use of integrated services is subject to their respective terms and privacy policies.
12.3 Social Media Integration
If you connect social media accounts or provide social media handles, we may display this information according to the visibility permissions you configure. We do not access or scrape data from external social media platforms.
13. Termination
13.1 Termination by You
You may terminate your account at any time by:
- Using the account deletion feature in our app or web platform
- Contacting customer support at support@vibewithme.co
Account deletion requests will begin to be processed when submitted, and your access will be disabled promptly. If the Service offers a recovery window, deletion of active account data may be delayed until that window expires. After deletion is processed, your personal data will be removed from active systems, subject to limited retention in backups and retention required or permitted by law.
13.2 Termination by Us
We may terminate or suspend your access immediately, without prior notice, for conduct that we believe:
- Violates these Terms, our Privacy Policy, or our Community Guidelines
- Harms or threatens other users or third parties
- Violates applicable laws or regulations
- Could damage our reputation or Service
- Involves fraudulent or illegal activity
13.3 Effect of Termination
Upon termination:
- Your access to the Service will be immediately disabled
- Your User Content will be deleted from our active systems after deletion is processed, subject to the limited exceptions described in these Terms and our Privacy Policy.
- Shared content that was previously delivered to other users (such as vibes, group messages, and Pulse Feed posts) may remain visible to those users
- Some information may be retained as required by law or for legitimate business purposes (such as fraud prevention and legal compliance)
- Active subscriptions will not be refunded for the remaining billing period
- Physical merchandise orders already placed will still be fulfilled
14. Disclaimers and Limitation of Liability
14.1 Service Availability
- Except as expressly stated in these Terms for physical merchandise and except to the extent required by applicable law, our Service is provided "as is" and "as available" without warranties of any kind, whether express or implied.
- We do not guarantee continuous, error-free, or secure access
- Features may be modified, suspended, or discontinued at any time
- Third-party integrations may affect Service availability
14.2 User Interactions and Off-Platform Conduct
- We are not responsible for interactions between users, whether online or in person
- Vibe With Me facilitates connections between users at music events. We are not responsible for the conduct of users outside the platform, including but not limited to communications, meetings, or transactions that occur through external services (such as WhatsApp, Discord, Instagram, or other platforms linked through user profiles) or in person
- Exercise caution when meeting people from our platform in person
- Report inappropriate behavior or safety concerns immediately
- We cannot guarantee the accuracy of user-provided information, including social media handles and profile details
14.3 User Assumption of Risk
Users acknowledge that Vibe With Me connects them with other individuals whose identities, backgrounds, and intentions cannot be fully verified by Vibe With Me. By using the Service, you agree to exercise your own judgment and caution when communicating with, meeting, or sharing personal information with other users. You assume all risk associated with your interactions with other users, whether those interactions occur on the platform, through external services, or in person.
14.4 Limitation of Liability
To the fullest extent permitted by applicable law and subject to the exceptions below, Vibe With Me LLC shall not be liable for:
- Indirect, incidental, special, or consequential damages
- Loss of profits, data, or business opportunities
- Damages exceeding the greater of (i) the amount paid to us in the 12 months preceding the claim, or (ii) $250
- Issues arising from third-party services or integrations
- Physical product performance, NFC compatibility issues, or hardware limitations
These limitations do not apply to liability that cannot legally be limited under applicable law, including liability for our gross negligence or willful misconduct, fraud, or personal injury caused by our negligence, to the extent such exclusions are not permitted by law.
14.5 Live Event Safety
- We are not responsible for safety at live music events
- Users are responsible for their own safety and conduct at events
- Report any safety concerns to event organizers and local authorities
- Our platform facilitates connections between music enthusiasts; it is not an event management or safety service
15. Indemnification
To the fullest extent permitted by applicable law, you agree to indemnify and hold harmless Vibe With Me LLC, its officers, directors, employees, and agents from any third-party claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:
- Your use of the Service
- Your User Content or conduct, whether on-platform or off-platform
- Your violation of these Terms, the Privacy Policy, or the Community Guidelines
- Your violation of any rights of others
- Your use of QR codes or NFC technology through our Service
- Your purchase or use of physical merchandise
- Any illegal activity conducted through, facilitated by, or arising from connections made through the Service, including but not limited to the sale, purchase, or distribution of controlled substances
We will give you prompt written notice of any covered claim and will reasonably cooperate with your defense at your expense. We may, at our option, assume control of the defense and settlement of any covered claim. If we assume control, we will not settle in a manner that imposes a non-monetary obligation on you or requires an admission of liability by you without your prior written consent, not to be unreasonably withheld. This Section does not require you to indemnify any party for liability arising from that party's gross negligence, willful misconduct, or breach of these Terms.
16. Dispute Resolution
16.1 Governing Law
These Terms are governed by the laws of the State of Nebraska, United States, without regard to conflict of law principles, except that the Federal Arbitration Act governs the interpretation and enforcement of the arbitration agreement below. Nothing in these Terms deprives you of non-waivable consumer protection rights under the laws of the jurisdiction where you reside.
16.2 Informal Resolution
Before initiating any formal dispute resolution, you agree to contact us at legal@vibewithme.co to attempt informal resolution. We will make good faith efforts to resolve any dispute within 30 days of receiving your notice.
16.3 Arbitration Agreement
Any disputes arising from these Terms or your use of our Service that cannot be resolved informally will be resolved through binding arbitration under the Federal Arbitration Act and administered by the American Arbitration Association (AAA), rather than in court, except for:
- Claims that qualify for small claims court in any jurisdiction where you or we reside
- Claims for intellectual property infringement
- Claims under the Computer Fraud and Abuse Act
- Claims for injunctive relief
- Claims relating to sexual assault or sexual harassment that the claimant elects to bring in court pursuant to the Ending Forced Arbitration of Sexual Assault and Sexual Harassment Act of 2021 (9 U.S.C. §§ 401–402).
THIS CONTRACT CONTAINS AN ARBITRATION PROVISION WHICH MAY BE ENFORCED BY THE PARTIES.
The arbitration shall be conducted by a single arbitrator in accordance with the AAA Consumer Arbitration Rules or other AAA rules applicable to the dispute. To the extent required by the AAA rules or applicable law, hearings may be conducted by video, telephone, or in the county where you reside, and we will be responsible for arbitration fees that we are required to pay under those rules. The arbitrator's decision shall be final and binding. Judgment on the arbitration award may be entered in any court of competent jurisdiction.
If the AAA determines that 25 or more similar arbitration demands or a global mediation request involving coordinated representation meet the AAA's mass arbitration criteria, the AAA's applicable Mass Arbitration Supplementary Rules will apply to the extent applicable.
16.4 Class Action Waiver
You agree to resolve disputes individually and waive any right to participate in class action lawsuits or class-wide arbitrations. Notwithstanding the foregoing, this class-action waiver does not apply to claims relating to sexual assault or sexual harassment as defined under the Ending Forced Arbitration of Sexual Assault and Sexual Harassment Act of 2021 (9 U.S.C. §§ 401–402); such claims may, at the claimant's election, be brought on an individual or representative basis in a court of competent jurisdiction.
16.5 Opt-Out
You may opt out of the arbitration agreement and class action waiver by sending written notice to legal@vibewithme.co within 30 days of first accepting these Terms. Your notice must include your name, account information, and a clear statement that you wish to opt out. If you opt out, you and Vibe With Me agree to resolve disputes exclusively in the state or federal courts located in the State of Nebraska, unless applicable law requires a different forum.
17. General Provisions
17.1 Entire Agreement
These Terms, together with our Privacy Policy and Community Guidelines, constitute the entire agreement between you and us regarding the Service.
17.2 Modification of Terms
We may modify these Terms from time to time. For material changes that significantly affect your rights or obligations or our use of personal information, we will provide at least 30 days' advance notice by in-app notification, email to your registered email address, or prominent notice on our website. During the notice period, you may continue to use the Service under the then-current Terms.
Material changes take effect on the date stated in the notice; your continued use of the Service after that effective date constitutes acceptance of the updated Terms. If you do not agree to a material change, you may stop using the Service and delete your account before the effective date. Pending merchandise orders placed before the effective date will be fulfilled under the Terms in effect at the time of order, unless applicable law requires otherwise.
For non-material changes, including clarifications, formatting changes, feature descriptions, or contact-information updates, we will post the updated Terms with a new "Last Updated" date.
17.3 Severability
If any provision of these Terms is found unenforceable in a particular jurisdiction, that provision will be enforced to the maximum extent permitted in that jurisdiction. If it cannot be enforced at all in that jurisdiction, it will be severed only as applied in that jurisdiction, and the remainder of these Terms will remain in full force and effect.
Nothing in these Terms limits, restricts, or waives any right or remedy that cannot be limited, restricted, or waived under applicable law, including non-waivable consumer protection rights.
17.4 Waiver
Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
17.5 Assignment
We may assign our rights and obligations under these Terms without restriction. You may not assign your rights without our prior written consent.
17.6 Survival
Provisions that by their nature should survive termination will survive, including ownership provisions, warranty disclaimers, indemnification, limitation of liability, and dispute resolution.

Live Event Connections
- Vibe connections are intended for music enthusiasts to share experiences
- Exercise appropriate caution when meeting people in person
- Respect venue rules and artist performance guidelines
- If you opt in to "Show me in the crowd," be aware that your profile and attendance will be visible to all attendees of that event, including users you have not previously connected with
- Report any inappropriate behavior at events through in-app reporting or to support@vibewithme.co
Music Data and Preferences
- Music preferences are personal expression and not endorsements
- We do not claim ownership of musical works or artist content
- Artist information is provided for user convenience and social connection
- Commercial use of music data through our platform is prohibited
Show and Event Listings
- Show and event listings on our platform may include both editorially sourced data and user-submitted content; see Section 4.4 for full terms governing user-submitted event information
- Event details such as dates, times, lineups, and venue information may change without notice; always confirm details with the venue or official ticketing source before making plans
- The inclusion of any artist, venue, or promoter in our show listings does not constitute an endorsement of or affiliation with Vibe With Me
Location-Based Features
- Location information is limited to city-level profile context and venue/event context and is used solely to enhance social connections at events and provide relevant show discovery.
- City, venue, and event-attendance context may be linked to your account and handled as described in our Privacy Policy, but we do not store device GPS coordinates or real-time location history.
- Precise location information is not shared with other users; only approximate context is displayed (e.g., city or venue name).
- Location sharing can be disabled without affecting core functionality.
- We do not store device GPS coordinates or track real-time location outside explicit feature usage; any device-location permission requested by a feature can be disabled in device or app settings.
NFC and QR Code Technology
- These features are designed to facilitate quick social connections at live music events
- Users are responsible for appropriate use in social settings
- We are not liable for hardware compatibility or technical limitations of NFC technology
- Misuse of connection technology may result in account suspension or termination
By using Vibe With Me, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.
